Singapore → Hainan · China company setup
A Singapore founder or Singapore company can set up a Hainan limited company, subject to the planned activity and foreign-investment rules. Start the ownership and document review from Singapore; plan banking and any required visit separately.

01 / Start with the business
Choose Hainan because it fits the customers, staff and day-to-day operations of the business. Treat tax incentives as a benefit of qualifying activity, not the only reason to register.
Compare Hainan and Singapore02 / Choose your shareholder
The better route depends on how you will fund, manage and grow the China business. If foreign investors own all the shares, advisers often call the structure a WFOE; the operating entity is registered as a foreign-invested limited liability company.
| Decision | Individual shareholder | Singapore company shareholder |
|---|---|---|
| When to consider it | A founder building a standalone China business. | An existing business establishing a China subsidiary. |
| Investor evidence | Passport or applicable identity document and verification route. | Current ACRA Business Profile, constitution, ownership chain, board approval and authorised signatory details. |
| Control & funding | Direct personal shareholding and contribution obligations. | Group ownership, corporate approvals and documented intercompany arrangements. |
| What needs review | Nationality, funding, future partners and personal circumstances. | Beneficial owners, governance, funding and cross-border tax treatment. |
If you invest personally, tell us your nationality as well as your Singapore residence status. If a company invests, we need the full ownership chain. These facts can change the document and tax review.
03 / Build the full budget
Plan for the one-off formation work, third-party document costs, any premises or licence requirements, and the first year of accounting and compliance. We provide an itemised quotation after checking the activity and shareholder route.
| Cost component | What to budget for | What changes the cost |
|---|---|---|
| Formation support | Ownership and scope review, filing preparation, registration coordination and agreed post-licence tasks. | Confirm the deliverables, exclusions and payment milestones in the quote. |
| Documents & third parties | Translation, notarisation or Apostille where needed, courier, seals and bank charges. | Depends on the investor documents and the route accepted for your application. |
| Premises & permissions | Registered address, operating premises and any industry or import-export requirements. | A registration address alone does not establish tax substance or meet every licensing requirement. |
| Annual running costs | Bookkeeping, tax returns, annual reporting, address renewal and payroll or audit work where applicable. | Depends on activity, transactions, staffing and the agreed service scope. |
04 / Plan the sequence
Treat the business licence, bank account, tax setup and any industry permits as separate milestones. We map the dependencies before giving you a planning range.
You can begin the review, document preparation and registration work from Singapore. Electronic verification may be available for eligible applicants.
The bank may still request an in-person meeting or premises check. We confirm who may need to attend and in what order before you book a trip.
You: Tell us what the company will do, where its customers and team will be, who will own it and how it will be funded.
Our team: We check foreign ownership, business scope, location and the shareholder route before documents are ordered.
Outcome: a workable setup plan and a clear list of decisions.
You: Provide the passport or current ACRA records and approve the Chinese filing documents.
Our team: We confirm the exact document list, translation, signing and whether an Apostille or a facilitation route applies.
Outcome: a filing-ready document pack with fewer avoidable reworks.
You: Confirm the business scope, registered capital schedule and company appointments.
Our team: We prepare and coordinate the registration filing and respond to authority queries.
Outcome: the business licence and company registration records.
You: Provide beneficial-owner and source-of-funds information, and attend bank verification if required.
Our team: We coordinate seals, tax and invoicing setup, and preparation for the corporate bank account.
Bank KYC, premises checks and additional licences follow their own timelines.
You: Keep business records and tell us when the activity, ownership, address or staff changes.
Our team: Under the agreed scope, we handle bookkeeping, tax filings and recurring compliance.
Outcome: a clear filing calendar after incorporation.
05 / Prepare the right documents
Use this list to get started. We confirm the final filing pack and document route before you notarise, Apostille or translate anything.

Policy update / effective 30 June 2026
Under the 2026 measure, some qualifying investors can reuse certified documents from an earlier registration in Hainan or a participating province. Overseas individuals also have additional identity-verification options.
The 2025 measure offers another simplified route for some investments outside the negative list. The investor type, undertaking, recommendation letter and credit conditions must all be checked before relying on it.
If neither route applies, we confirm what must be notarised, Apostilled and translated. Simpler registration documents do not mean the bank will waive its own KYC checks.

Your team on the ground
Singapore and Hainan share UTC+8, so you can work with our local registration, tax and accounting team without a time-zone handover.
We prepare and coordinate the work. Government authorities and banks make their own approval decisions.

The 15% corporate income tax rate is for qualifying encouraged-industry businesses registered and substantively operating in Hainan. Revenue from the qualifying main business must account for at least 60% of total revenue.
The current extension runs through 31 December 2027. A registered address is not enough: the people, accounts, assets and actual operations must support the claim.
Check the eligibility sources ↓Bank readiness
The bank will ask who owns the company, where the money comes from, what the business sells, who its customers are and where it actually operates.
We prepare the application and coordinate the account-opening sequence. The bank decides what verification it needs and whether it accepts the application.
Profit distributions
A dividend requires distributable profits, company approval, tax procedures and bank review. Keep the accounts and supporting documents ready from the start.
A Singapore shareholder does not automatically receive a lower treaty rate. Check whether it qualifies for treaty relief and how the dividend will be treated in Singapore.
Read the profit repatriation guide →The personal income tax policy is separate. It is aimed at qualifying high-end and urgently needed talent and concerns the part of the actual tax burden above 15%. It is not a flat 15% rate for every shareholder or employee. Check the official talent-policy explanation ↓
Practical reading

Often, yes. If the planned business activity allows full foreign ownership, an overseas individual or Singapore company can own all the shares. This structure is still commonly called a WFOE, although the company is registered as a foreign-invested limited liability company. Restricted sectors need a separate review.
No. You may be able to invest personally, or use an existing Singapore Pte. Ltd. as the shareholder. The better route depends on how you will fund, manage and grow the China business. We compare the documents and practical implications before you decide.
You can begin the ownership review, document preparation and registration work from Singapore. Electronic verification may be available for eligible applicants. Bank account opening is separate, and the bank may still request an in-person meeting, video verification or a premises check.
Plan for three separate timelines: preparing the Singapore documents, registering the company, and completing banking and tax setup. After reviewing the shareholder and business activity, we will give you a planning range for each stage and identify any step that may require a visit.
Potentially, yes. The answer depends on the registered business scope, sector licences, where staff actually work and whether another operating location or branch is needed. Goods moving between Hainan and the rest of mainland China also need a separate customs and tax review.
No. Registered capital is funding that the shareholders commit to the company; it is separate from our professional fees and the company’s running costs. For a newly formed limited liability company, subscribed capital generally must be paid within five years, subject to special rules. Set an amount the business can realistically fund.
Most ordinary limited companies do not have one universal statutory minimum, although regulated sectors may have specific requirements. Choose an amount and contribution schedule that match the company’s real operating needs and can be funded within the applicable deadline.
Not always. Some qualifying applications may use a Hainan facilitation route, while other cases require notarised, Apostilled and translated documents. Confirm the accepted route before ordering certification because the registration authority and bank may apply different checks.
No. Owning the company and having permission to work in China are separate matters. If you will work in Hainan, tell us your nationality, role and intended stay so the relevant work and residence requirements can be checked.
Send a short description of the business, where its customers and team will be, whether the shareholder will be you or a Singapore Pte. Ltd., and your target start date. That is enough for the first review; please do not send passport scans with the initial enquiry.
Your next step
Tell us what the company will do, who will own it and when you want to start. Include where the customers, staff and day-to-day operations will be.
