China Business License and the Unified Social Credit Code

Every Chinese company has one 18-character Unified Social Credit Code. Learn to read the licence, decode the number, check it against the official registry and confirm the people behind the transaction.

01 / What the licence records

Nine items appear on every Chinese business licence.

Article 23 of the Implementing Rules of the Regulations on the Registration of Market Entities (SAMR Order No. 52, in force since 1 March 2022) sets out what a licence must state: name, legal representative, type, registered capital, domicile, business scope, registration authority, date of establishment and the Unified Social Credit Code. Anything else on the page is decoration.

FieldWhat it tells youWhat it does not tell you
名称 NameThe registered Chinese legal name, which is the name that binds in a contract. The English name on a website or business card usually has no registered status.
统一社会信用代码 Credit codeThe permanent 18-character identifier, also used as the taxpayer number. It does not change when the company moves, renames or changes owners.
类型 TypeThe legal form, such as a limited liability company or a branch.A branch (分公司) is not a separate legal person and cannot contract in its own right.
法定代表人 Legal representativeThe one individual registered as able to bind the company by law.It does not confirm that this person negotiated or approved your deal.
注册资本 Registered capitalThe capital shareholders have subscribed to contribute. It is not paid-up capital, cash in the bank, or evidence of solvency.
住所 DomicileThe registered address on file with the authority. It may be a registration address rather than where anyone actually works.
经营范围 Business scopeThe activities the company registered to carry out.Licensed items in the scope still require a separate permit before trading.
成立日期 Date of establishmentWhen the legal entity came into existence. Not the date the current owners or management took over.

正本 and 副本 are both genuine

A licence is issued in an original (正本) and one or more duplicates (副本). They carry equal legal effect. The original must be displayed prominently at the business premises; the duplicate is the portable copy you will normally be sent.

The electronic licence is equally valid

Article 23 confirms that an electronic business licence (电子营业执照) has the same legal effect as the paper one. A screenshot, however, proves nothing on its own: it still has to be matched against the live registry record.

02 / Decode the number

What each part of the 18-character code means.

The format is fixed by mandatory national standard GB 32100-2015, effective 1 October 2015. The code uses digits and capital letters but never I, O, Z, S or V, precisely so it cannot be confused with 1, 0 or 2. Reading it tells you which authority registered the company and where.

1
Registering department. 9 means the market regulation authority, which covers ordinary businesses. 1 is used for government and public bodies, 5 for civil affairs organisations, Y for others. A trading partner's code should normally start with 9.
2
Entity category within that department. Together, 91 is the combination you will see on almost every commercial company, including foreign-invested ones.
3–8
Administrative division code of the registering authority, under GB/T 2260. 460100 is Haikou, Hainan; 460000 is Hainan province. These six digits reveal where the company was actually registered.
9–17
Entity identifier, the nine-character successor to the old organisation code issued under GB 11714. Codes beginning MA were allocated after the 2015 reform, so they generally indicate a company registered from that point onward.
18
Check character, calculated from the first 17 under ISO 7064, MOD 31-3. A mistyped or invented code will usually fail this check, which is why verification tools can reject a fake number before any lookup.

Why an older company may show a different number

Before the reform, a business held three separate documents: a business licence from the industry and commerce authority, an organisation code certificate, and a tax registration certificate. The "three-in-one, one licence one code" (三证合一、一照一码) reform took effect on 1 October 2015 and replaced all three with a single licence carrying the Unified Social Credit Code. The changeover ran to the end of 2017, with limited cases extended to 2020. If a counterparty sends a document showing a 15-digit registration number, it predates the reform, and you should ask for the current licence.

One number, two systems

Registry and tax

The same code identifies the company at the market regulation authority (SAMR) and at the tax bureau. You do not need a separate taxpayer number to check an invoice against an entity.

03 / Check it yourself

Start with the official registry, not a PDF.

A licence image can be edited, out of date, or belong to a company that has since been suspended. The authoritative record is the National Enterprise Credit Information Publicity System, run by the State Administration for Market Regulation.

Official, free

国家企业信用信息公示系统

Search at gsxt.gov.cn using the exact Chinese legal name or the 18-character code. The site is in Chinese and may require a slider verification step. It shows registration details, annual reports, filings, the abnormal operations list and any serious illegality listing.

Commercial databases

Qichacha, Tianyancha, Qixinbao

These aggregate the same public data with easier search, history and ownership charts. They are convenient for a first pass and for tracing group structures, but they are secondary sources. For anything that carries real money, confirm the finding against the official system or obtain a certified archive extract from the registration authority.

Three layers, three different risks

Finding the company is only the first layer. Most losses come from the second and third.

  1. 01

    Entity layer

Does the registry match the licence on name, code, status, capital, address and scope? Check the status field reads 存续 or 在业 (active) rather than 吊销 (revoked), 注销 (deregistered) or 清算 (in liquidation).

  2. 02

    Authority layer

Can the person in front of you actually bind the company? Confirm the legal representative against the registry, and for anyone else ask for a written authorisation. A contract sealed with the official company chop is the normal evidence of corporate assent.

  3. 03

    Transaction layer

Do the contract, invoice, permit, payment account and the goods or services all point to the same legal entity? A genuine company can still be used as a front for an unauthorised deal.

Check the abnormal operations list (经营异常名录) before you commit.

Under the Administrative Measures for the List of Enterprises with Abnormal Operations (SAMR Order No. 101, revised 18 March 2025 and effective 1 May 2025), a company is listed for one of four reasons: failing to publish its annual report on time, failing to disclose information when ordered, failing to register a required name change, or being unreachable at its registered address. The last one matters most to a foreign buyer, because it signals the address may not be real. Authorities treat two unanswered registered letters, sent between 15 and 30 days apart, as proof of being unreachable. A listing is published on the same registry you are searching, and removal takes roughly five working days once the company fixes the underlying problem.

Annual reports are a free credibility signal.

Every company must file its previous year's annual report through the publicity system between 1 January and 30 June. A company with several years of reports on file, consistent with what it tells you, is easier to trust than one whose record is empty or interrupted.

04 / Before money moves

Match six items to one legal entity.

The most common cross-border loss is not a fake company. It is a real company whose name appears on the contract while payment is directed somewhere else. Chinese companies generally settle through an account in the registered legal name, so a mismatch deserves a direct explanation.

Contract

Chinese legal name, not the trading name

Company chop

Name on the seal matches the contract

Bank account

Account holder is the same entity

Fapiao 发票

Issuer's code matches the licence

Permit

Held by this entity and still valid

Registry

Status active, details consistent

Payment redirected offshore

A request to pay a Hong Kong or personal account that does not match the contracting entity is the single most common warning sign. Confirm it by a channel you already trust, never by replying to the email that asked.

Branch signing as if a company

A 分公司 has no separate legal personality. Check whether the parent should be the contracting party and whether the branch holds written authority.

Scope does not cover the deal

If the business scope has nothing to do with what you are buying, ask why. It may be an intermediary, or the wrong entity in the group.

05 / A licence is not permission for everything

Business scope and industry permits are separate checks.

The scope distinguishes general items, which a company may start on registration, from licensed items (许可经营项目), which require approval first.

The business licence

Establishes the entity, records its registered particulars and confirms it legally exists. Displaying it at the premises is mandatory, and e-commerce operators must show it on their homepage.

The industry permit

Authorises a regulated activity: food and catering, medical devices, education, travel services, telecoms and value-added internet services, import and export operations, and others. Ask for the permit itself, check the holder's name matches the licence, and check the expiry date.

Licence FAQs

What the document does, and does not, prove.

Common questions from buyers, suppliers and investors checking a Chinese counterparty.

How do I check if a Chinese company is real?

Search the registered Chinese legal name or the 18-character Unified Social Credit Code on the National Enterprise Credit Information Publicity System at gsxt.gov.cn, which is the official registry run by the State Administration for Market Regulation. Confirm the name, code, status, registered capital, address and business scope all match the licence you were sent. Commercial databases such as Qichacha or Tianyancha are convenient for a first pass, but they are secondary sources.

What is the 18-digit number on a Chinese business license?

It is the Unified Social Credit Code, the permanent identifier defined by national standard GB 32100-2015. It serves as both the company registration number and the taxpayer number, and it does not change when the company moves, renames or changes shareholders.

What does 91 at the start of a Chinese company code mean?

The first character identifies the registering department and the second the entity category. 9 means the market regulation authority, which handles ordinary businesses, so 91 is the combination on almost every commercial company, including foreign-invested ones. A code starting with 1 or 5 belongs to a government body or a civil affairs organisation rather than a trading company.

Can I tell where a company is registered from its credit code?

Yes. Characters 3 to 8 are the administrative division code of the registering authority under GB/T 2260. For example, 460100 is Haikou in Hainan. If those digits point to a different city from the one a counterparty claims, ask why.

Why does the code never contain the letters I, O, Z, S or V?

GB 32100-2015 excludes them so the code cannot be misread as the digits 1, 0 or 2. If a number you have been given contains one of those letters, it has been mistyped or invented.

Is the English company name legally controlling?

Usually no. The registered Chinese legal name is what binds in a contract and what the registry searches on. An English name used on a website, business card or invoice generally has no registered status, so always obtain the Chinese name and the credit code.

Is an electronic business licence valid?

Yes. Under Article 23 of the Implementing Rules of the Regulations on the Registration of Market Entities, an electronic business licence has the same legal effect as the paper version. A screenshot on its own still proves nothing and should be matched against the live registry record.

What is the difference between 正本 and 副本 of a business licence?

They carry equal legal effect. The original (正本) is issued singly and must be displayed prominently at the business premises, while one or more duplicates (副本) are portable and are what you will usually be sent. Neither is more authentic than the other.

What does it mean if a company is on the abnormal operations list?

The 经营异常名录 flags a company that failed to publish its annual report on time, failed to disclose information when ordered, failed to register a required name change, or could not be reached at its registered address. The last reason matters most when assessing a supplier, because it suggests the registered address may not be genuine. The listing is published on the same official registry.

Does a business licence prove the company can pay?

No. Registered capital is the amount shareholders have committed to contribute, not money held in a bank account, and an active registration status says nothing about solvency or payment history. Financial standing requires separate enquiry.

Does the business scope cover every activity a company can perform?

No. The scope separates general items, which a company may start on registration, from licensed items that require prior approval. Regulated activities such as food, medical devices, education, travel services and telecoms need a separate permit, so check that the permit is held by the same entity and has not expired.

My supplier sent a licence with a 15-digit number. Is it fake?

Not necessarily, but it is out of date. Before the "three-in-one" reform that took effect on 1 October 2015, companies held a separate business licence, organisation code certificate and tax registration certificate. Those were replaced by one licence carrying the Unified Social Credit Code, with the changeover largely complete by the end of 2017. Ask for the current licence and verify it against the registry.
