Remote WFOE registration · Apostille · Identity verification
Often yes for the company-registration filing. That does not mean every document, bank account or regulated permit can be completed remotely. The answer depends on the investor, the city, the identity-verification route and the bank branch.
01 / Define the finish line
China has provided online enterprise-registration systems nationwide since 2017. A paperless filing can cover application, electronic signature, approval and issue of an electronic business licence without a visit to the registration counter. Foreign-passport verification, however, has not been implemented in exactly the same way in every local system. Banking and sector licensing are separate processes with their own checks.
| Stage | Can it be handled from overseas? | What decides the answer? |
|---|---|---|
| Structure and scope | Yes. Shareholder, legal representative, registered capital, business scope and city can be planned remotely. | Foreign-investment restrictions, licensing and whether the proposed address fits the activity. |
| Foreign investor documents | Usually prepared overseas. A contracting-state public document normally uses an Apostille; a non-contracting-state document follows consular legalisation. | Investor type, issuing country, document type and the receiving registration authority. |
| Identity verification and signature | Sometimes fully online. The applicant still signs personally; an agent cannot impersonate the investor or officer. | The local platform, accepted ID, mobile number, bank-card or facial-verification route. |
| Company registration | Often yes once every required person can authenticate and sign in the local system. | The city system and whether an online identity check succeeds. |
| Chops, tax and routine filings | Much can normally be coordinated locally after the licence is issued. | Original-document requirements, local authorisations and the responsible person's platform access. |
| Bank account | Never assume so. Some branches accept remote or video checks; others require one or more people to attend. | Bank and branch policy, beneficial ownership, source of funds, business model and risk assessment. |
| Industry licence | Case-specific. A site inspection, technical interview or responsible-person check may create a visit. | The activity, regulator, premises and city. |

The Convention Abolishing the Requirement of Legalisation for Foreign Public Documents took effect for China on 7 November 2023. A public document issued in another contracting state for use in mainland China generally needs an Apostille from that state's competent authority, not another round of authentication at a Chinese embassy or consulate. Documents from a non-contracting state continue through the applicable notarisation and consular-legalisation route.
Contracting state
Confirm which underlying document the registrar wants, arrange the required notarial or official certification in the issuing country, then obtain the Apostille from that country's competent authority.
Non-contracting state
The older chain remains. Exact steps depend on the issuing country and may include its foreign ministry and the Chinese embassy or consulate with jurisdiction.
Important limit
It does not certify that every statement inside the document is true, lawful or sufficient for company registration. Translation, recency and local filing requirements still have to be checked.
The core identity document is normally the passport. Whether a notarised or Apostilled copy is required depends on the local verification route. Some authorities waive separate certification where the passport or permanent-residence ID can be verified through an accepted official system or an in-person immigration record.
Expect evidence of incorporation and current legal status, plus the chain showing who may sign for the shareholder. Registrars and banks may also request articles, directors, ownership and ultimate-beneficial-owner information even where those items are not printed on the basic registration certificate.

03 / Identity and signature
China's electronic-registration framework recognises online identity verification and electronic signatures. Natural persons must sign for themselves, while a corporate shareholder is signed by its legally authorised person. The practical obstacle for an overseas founder is whether the local platform can verify a foreign passport and deliver a usable signing credential.

Hainan e-Registration cross-checks the applicant's name, passport number, mainland Chinese bank-card number and the mobile number reserved with that bank. A successful match lets a foreign natural-person investor complete identity verification and electronic signature online without visiting the registration counter or submitting a paper signature.
This is a substantial improvement, but it is conditional. A founder without the required mainland bank account and matching bank mobile record cannot assume this route will work. It also applies to company registration, not automatically to opening the company's bank account.
Hainan also supports online authentication and signing for Hong Kong, Macao and Taiwan residents using eligible mainland travel or residence documents, foreign nationals holding a Chinese permanent residence ID, and overseas Chinese using an eligible passport. The document route must be selected before the filing package is prepared.

Individual or corporate shareholder? Which country issued the evidence, and is it a Convention state?
Can each shareholder, legal representative and required officer authenticate and sign through the selected city's system?
Has the branch confirmed who must attend, which originals it wants and whether video verification is available?
Does the activity trigger a site inspection, technical review, interview or named responsible person?
A local agent can prepare the application, liaise with the registrar, submit an authorised filing, collect the licence, coordinate chops and carry documents between institutions. The authorisation should identify the agent, permitted acts and validity period.
It cannot make the investor's identity disappear, turn an agent into the shareholder's authorised corporate signatory, bypass electronic signing assigned to a named person, or compel a bank or regulator to accept remote KYC. Avoid signing blank forms or giving an undefined general authority.
05 / Banking and operations
The market-regulation authority decides whether to register the company. The bank separately identifies the legal representative, authorised signatories and ultimate beneficial owners; reviews source of funds, expected transactions, premises and business model; and decides whether its risk controls require attendance.
Read the China bank-account guide →Hainan's four-factor registration route uses an eligible personal mainland bank card to verify a foreign natural person. Passing that check does not open the new company's corporate account. Corporate account KYC begins after the business licence is issued and remains subject to the selected branch.
06 / Failure patterns
Check the city, document route, signatories and bank before filing. Each mistake below is cheaper to prevent than to repair after registration.
Documents are legalised at a Chinese consulate even though an Apostille would suffice, or an Apostille is ordered for a non-Convention route.
The forms, signature method, translation expectations and foreign-passport verification route are assumed to be identical nationwide.
The agent can submit and coordinate, but the system still expects the real investor or authorised corporate person to authenticate required signatures.
The company is registered, but its chosen branch requires attendance by someone who cannot travel, delaying capital injection and payments.
Remote setup FAQs
These answers separate company registration from identity verification, document certification, banking and licensing.
Often the company-registration filing can be completed from overseas, provided every required investor and officer can pass the target city's identity check and sign through an accepted route. That does not guarantee the company bank account or a regulated-industry permit can also be completed without a visit.
China provides online enterprise registration, and a paperless filing may cover application, electronic signature, approval and issue of an electronic business licence. Foreign-passport verification is implemented differently between local systems, so the city and each signatory's accepted identity route must be checked first.
Not always. Since 7 November 2023, a public document from another Apostille Convention contracting state for use in mainland China generally needs an Apostille from that state rather than Chinese consular legalisation. Documents from non-contracting states continue through the applicable notarisation and consular-legalisation route.
It certifies the origin of a public document by authenticating the relevant signature, seal or stamp. It does not certify that every statement in the document is true or that the document meets a Chinese registrar's translation, recency or filing requirements.
The passport is the core identity document. Depending on the city and verification method, the registrar may accept an online official check, may require a notarised or Apostilled passport copy, or may recognise a Chinese permanent residence ID or an eligible passport already verified through immigration records. Confirm the exact route before ordering certification.
Expect evidence of incorporation and current legal status, together with evidence showing who has authority to sign for the shareholder. The registrar or bank may also request articles, director and ownership records, an ultimate-beneficial-owner chart and a power of attorney. The core public documents normally follow the Apostille or legalisation route applicable to their issuing country.
Yes, subject to the available verification route. Since 6 July 2026, Hainan e-Registration has allowed an ordinary foreign-passport holder to verify and sign online by matching four items: name, passport number, a mainland Chinese bank-card number and the mobile number reserved with that bank. A founder who lacks that matching bank record should not assume this route is available.
No. The four-factor route uses an eligible personal mainland bank card to verify the foreign natural person for company registration. Opening the new company's corporate account is a separate bank KYC process after the business licence is issued.
No. An authorised local agent can prepare and submit the filing, communicate with the registrar, collect documents and coordinate post-registration work. The investor and named officers remain responsible for signatures and identity checks assigned to them, and a corporate shareholder must act through its legally authorised signatory.
Corporate bank-account KYC is the main uncertainty because each bank and branch applies its own risk controls. A regulated licence may also require a premises inspection, technical interview or responsible-person check. Both should be confirmed before promising a no-travel timetable.
Not automatically for company registration. If the local system can verify the person and accept the required signature, the registration filing may be completed remotely. The selected bank or an industry regulator may nevertheless require that person to attend later.
Legally the company can be incorporated before a corporate bank account is opened, but delaying the bank decision creates practical risk. Confirm the intended branch, required attendees, original documents, video-KYC availability and premises expectations before registration so the company is not left unable to receive capital or make payments.
