Company Formation

Can a Foreigner Own 100% of a Company in Hainan?

By Zhongzhi International Published Updated 4 min read

Yes, in many lines of business. A foreign person or overseas company can be the sole shareholder of a limited liability company registered in Hainan. The deciding question is what that company will actually do. Some activities have foreign investment restrictions; others are open to full foreign ownership but still need an industry licence.

If you are planning a Hainan Free Trade Port company, work through those questions before choosing a name or paying for an address.

What does “100% foreign-owned” mean?

It means all of the company's shares belong to one or more foreign investors. People often call this a WFOE (wholly foreign-owned enterprise). In practice, you are registering a Chinese company with foreign shareholders. It has its own business licence, registered address, legal representative, accounts and filing obligations.

Full ownership does not mean every activity is automatically permitted. It also does not give the owner a visa, a bank account or a tax discount on its own. For the general ownership rules, read our guide to 100% foreign ownership in China.

Check the activity before the ownership structure

Write down the products or services you plan to sell, who the customers are and whether you will import, export or operate online. Then check three separate questions:

  1. Foreign investment access: Is this activity open to full foreign ownership under the rules that apply in Hainan?
  2. Ordinary market access: Would any company, foreign-owned or domestic, need a sector permit?
  3. Registered business scope: Which activities must appear on the business licence, and which require approval before trading?

This is why “consulting,” “software,” “trading” and “education” should not be treated as interchangeable labels. The exact activity matters. Our foreign investment negative list explainer shows how to start that check.

What do you need to set one up in Hainan?

A typical filing requires the proposed name, shareholder identity documents, a Hainan registered address, a business scope, registered capital and the people who will hold company roles. Overseas documents may need authentication and Chinese translation. The precise list depends on whether the shareholder is an individual or a company and on the chosen activity. Use our Hainan registration document checklist to prepare the first pack.

Before filing, decide who can sign, who controls the company seals and who will run the business day to day. Those decisions are harder to fix after the licence is issued than they are on the application form. Registered capital also needs a realistic contribution plan; our guide to China's registered capital rules explains the timing issue.

Does a Hainan company automatically get the 15% tax rate?

No. A Hainan address and foreign ownership do not establish eligibility. The reduced corporate income tax rate is tied to conditions including an encouraged industry and substantive operations in Hainan. If a provider promises the rate based only on registration, ask them to identify the policy category and the operating evidence they expect your company to keep. See our Hainan 15% corporate income tax guide and substantive operation explainer.

The practical sequence is simple: confirm the activity is allowed, choose the right company structure and address, prepare the filing, then plan banking, tax and accounting. Our Hainan Free Trade Port setup guide covers that wider process.

Common questions

Can I be the only shareholder of a Hainan company?

Often yes, if the planned activity permits full foreign ownership and the registration requirements are met. A foreign individual or an overseas company can both be the sole shareholder.

Do I need a Chinese partner for a Hainan company?

Not for every business. A partner may be required in a restricted activity, but adding one without a business reason creates its own control and governance questions.

Can I register a Hainan company and start selling immediately?

The business licence is one step. You may still need a bank account, tax and invoicing setup, and an activity-specific permit before operations begin.

Does a Hainan address alone qualify my company for the 15% tax rate?

No. The reduced corporate income tax rate requires an encouraged-industry activity and substantive operations in Hainan, assessed on evidence, not on the registered address alone.
