Hainan Free Trade Port Company Setup Guide

By Zhongzhi International Published Updated 5 min read

Hainan is often marketed with big phrases: free trade, low tax and zero tariffs. A founder needs a more useful answer: what changes when you actually register and operate a company there?

The short version is that Hainan can be a strong base for an international business, particularly in encouraged industries and cross-border trade. But the advantages depend on what the company does, where its people and decisions are located, and whether it meets the conditions behind each policy.

What this Hainan Free Trade Port guide covers

This article explains how the Hainan Free Trade Port framework affects a company setup decision: foreign-investment access, island-wide customs operations, encouraged-industry tax treatment and the need for substantive operations. If you are ready to appoint a local formation team, see our Hainan company registration services. For a national overview before choosing a city, use the company registration in China guide.

Can a foreigner own 100% of a Hainan company?

In many sectors, yes. Foreign investors can generally own 100% of a limited liability company when the proposed activity is outside the applicable negative-list restrictions.

Hainan has a Free Trade Port-specific foreign investment negative list. Activities outside that list are managed under the principle of national treatment, although normal industry permits and the nationwide Market Access Negative List still apply.

A local partner may still make commercial sense, but it is not a universal legal requirement. The ownership answer should come from the exact business activity, not from the broad label “consulting”, “technology” or “trading”.

What changed after island-wide customs operations began?

Hainan began island-wide special customs operations on 18 December 2025. This created a customs framework based on:

  • a “first line” between Hainan and places outside mainland China;
  • a “second line” between Hainan and the rest of mainland China; and
  • freer circulation within the island, subject to the relevant rules.

This matters most to businesses that import equipment, inputs or goods, process products in Hainan or sell between Hainan and the mainland. It does not change the ordinary act of incorporating a consulting company, and it does not make every import tax-free.

The commercial question is whether your supply chain can satisfy the zero-tariff and customs-supervision rules. A service company should not choose Hainan solely because it has heard the phrase “zero tariff”.

The company formation sequence

1. Define the activity

Start with what customers will pay the company to do. That description drives the foreign-investment check, business scope, permits, tax treatment and sometimes the appropriate city or industrial park.

2. Confirm the ownership route

Choose between individual and corporate foreign shareholders. If an overseas company will invest, map its ownership and authorised signatory before preparing documents.

3. Set a realistic capital commitment

Most ordinary companies do not face a fixed minimum. Shareholders of a limited liability company generally must contribute subscribed capital within five years. Choose an amount connected to the operating plan, not a number selected for appearance.

4. Secure a compliant registered address

The address must be acceptable for registration and suitable for the activity. Some parks offer address and support arrangements, but a registered address does not by itself establish substantive operations for tax purposes.

5. Prepare and pre-check the documents

Typical materials cover the shareholder, governance, business scope, articles, address and legal-document recipient. Overseas documents may require an apostille or legalisation, depending on their origin.

Hainan’s 2025 facilitation measures provide a simplified route in qualifying cases. A foreign individual may be able to submit a passport copy, while an overseas corporate investor may use corporate qualification copies together with a recommendation letter. Where the commitment and identity-verification conditions are met, notarisation, authentication or an apostille may be waived. The route must be confirmed before filing; it is not a blanket exemption.

6. File through Hainan’s registration system

Hainan e-Registration and the One-Stop Service for Investment integrate company registration with several supporting procedures. A complete straightforward application may move quickly, but licensed activities and overseas identity checks add time.

7. Make the company operational

After licensing, complete seals, tax and invoicing setup, bank accounts, foreign direct investment registration, employment registrations and any sector permits. A licence without banking and tax readiness is not yet a working business.

Does every Hainan company pay 15% corporate income tax?

No. China’s standard corporate income tax rate is 25%. The reduced 15% rate, currently extended through 31 December 2027, applies to qualifying enterprises in encouraged industries that have substantive operations in Hainan.

The company’s main business must fall within the relevant encouraged catalogue, and qualifying main-business revenue generally must exceed 60% of total revenue. Staff, assets, management and accounting arrangements also matter when authorities assess substantive operations.

Registering an empty company and outsourcing all real activity elsewhere is not a credible tax plan.

What should a foreign founder decide before filing?

You should be able to answer these questions:

  • Is the proposed activity open to foreign ownership?
  • Does it need an operating permit?
  • Who will own the company and sign the documents?
  • How much capital can the shareholders fund within five years?
  • Where will the staff, records and management be located?
  • Does the activity genuinely fit an encouraged-industry item?
  • Will the company import goods or sell goods into mainland China?
  • Which bank is prepared to support the expected cross-border transactions?

If those answers are clear, registration is usually the administrative part of the project rather than the difficult part.
